Acceptance of Terms

By accessing and using the Abhianya Technology website and engaging our services, you agree to be bound by these Terms and Conditions and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our website or engage our services. These terms apply to all visitors, clients, and partners.

Services

Abhianya Technology provides software development services including but not limited to website development, mobile app development, custom software development, UI/UX design, AI integration, API development, and digital marketing. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate project agreement or statement of work.

We reserve the right to modify, suspend, or discontinue any service at any time. We will notify clients of any material changes to ongoing engagements in advance.

Intellectual Property

Upon full payment of all project fees, all intellectual property rights for the custom work created for the client, including source code, design files, and project assets, are transferred to the client. Abhianya Technology retains the right to use the project for portfolio and marketing purposes unless otherwise agreed in writing.

Abhianya Technology retains ownership of all pre-existing tools, frameworks, libraries, and methodologies developed prior to or independently of the project. Third-party libraries and open-source components used in the project remain subject to their respective licenses.

Payment Terms

Project fees and payment schedules are defined in the project agreement. Typically, projects require an advance payment of 30-50% before work begins, with subsequent milestone-based payments. Invoices are due within 15 days of issuance unless otherwise specified.

Late payments may incur a charge of 1.5% per month. Work may be paused on projects with overdue invoices. All fees are exclusive of applicable taxes, which are the responsibility of the client unless included in the quoted price.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. We sign mutual Non-Disclosure Agreements (NDAs) before technical discussions begin and uphold strict confidentiality protocols throughout and after the project.

Confidential information includes business strategies, technical specifications, customer data, and any other non-public information. Confidentiality obligations survive the termination of the project agreement for a period of five years.

Limitation of Liability

Abhianya Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability for any claim arising from a project engagement shall not exceed the total fees paid by the client for that specific project.

We are not responsible for data loss, business interruption, or loss of profits resulting from the use or inability to use our deliverables, except where caused by our gross negligence or willful misconduct.

Termination

Either party may terminate the project agreement with 30 days written notice. Upon termination, the client shall pay for all work completed up to the termination date. Abhianya Technology may terminate the agreement immediately for material breach, non-payment, or unlawful use of deliverables.

Upon termination, all deliverables completed up to the termination date shall be provided to the client. Provisions relating to intellectual property, confidentiality, and limitation of liability shall survive termination.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Gautam Buddha Nagar, Noida, Uttar Pradesh, India. Both parties agree to attempt good-faith resolution through mediation before initiating litigation.
